Articles of Association

 § 1 Name and registered office of the association, financial year


The association bears the name

MRT Rosenheim e.V.

The financial year is the calendar year.



§ 2 Purpose of the association


The purpose of the association is to promote the sport of model car racing and model car construction, in particular to inspire young people for this activity, to procure a suitable club site and to build and maintain a permanent race track on it.

The association pursues exclusively and directly charitable purposes within the meaning of the section ‘Tax-privileged purposes’ of the German Tax Code. The association is selflessly active; it does not primarily pursue its own economic purposes. The Association's funds may only be used for the purposes set out in the Articles of Association.

It is politically and denominationally neutral.

The purpose of the organisation shall be achieved by the following measures: Organising competitions among modellers, participation of members in external competitions and organising exhibitions

Insofar as this model building sector is already combined by special organisations in the Federal Republic of Germany (DMC) and abroad (EFAR), the association intends to support them in their tasks and to report its members to these organisations.


§ 3 Membership


Any person in good standing who wants to actively build model cars or is interested in doing so and has reached the age of ten can become a member.

Young people under the age of 18 have no voting rights in the general meeting. Their interests are represented by the youth officer.

Ordinary members are all persons over the age of 13 who are actively involved in model car building.

Anyone who wishes to support the interests of the association can become a supporting member. Supporting members have the right to vote and are also eligible for election.

Persons who have rendered outstanding services to the Association may be appointed honorary members by resolution of the General Meeting. Honorary members have the rights of ordinary members. They are exempt from paying membership fees.



§ 4 Start and end of membership


Membership is granted by resolution of the Executive Board on the basis of a written application. If the Executive Board rejects admission, the applicant may appeal against this to the General Meeting. This decides by a simple majority of votes.

After admission and payment of the admission fee and the first annual membership fee, the membership entitlement begins retroactively from the date of the resolution and ends at the latest at the end of the year or earlier by resolution of the Executive Board. It serves the purpose of determining the Board's obligation to ensure that the prospective member is being managed without objections and is categorised in accordance with the interests of the Association. During the qualifying period, the prospective member has the same rights and obligations as an ordinary member, but is not eligible for election to the Executive Board. Conversion of the prospective membership into membership is automatic if there are no objections. A rejection must be justified. It is final.

Membership expires upon death, resignation or expulsion. Resignation is effected by written declaration to the association by 15 September at the latest and takes effect at the end of the year.

A member can be expelled by the Executive Board. The decision must be justified in writing and sent to the member. Within a period of 14 days, the member may lodge an appeal to the next General Meeting. 

The appeal must be justified in writing.

A member may only be expelled in the event of a serious breach of the articles of association or gross damage to the association or dishonourable behaviour within or outside the association or if membership fees are more than 6 months in arrears. In the latter case, a prior reminder must be issued with reference to the possibility of expulsion.

In the event of expulsion, there is no entitlement to reimbursement of contributions paid.



§ 5 Rights and obligations of members


All members and youth members have the right to use the Association's facilities and the right to vote at general meetings, subject to § 3 point 2.

Members are obliged to promote the objectives of the Association to the best of their ability, to treat the property of the Association with care and to provide appropriate labour service or make appropriate compensation payments when requested to do so. Before the work is carried out, all members must be informed of the type, place and time of the intended work as well as the amount of the compensation payments by circular letter. In justified cases, the Executive Board may waive the compensation payments or reserve members for other work. Members must behave with decency and helpfulness within the community.



§ 6 Admission fee and membership fee


The amount of the membership fee and the admission fee shall be determined by the General Meeting.

With the authorisation of the Executive Board, departments have the right to charge special fees.

The membership fee must be paid annually in advance, but at the latest by the Annual General Meeting.

Resolutions of the General Meeting are passed by a simple majority of those present; in the event of a tie, the Chairman of the meeting has the casting vote. Articles 11 and 12 apply to amendments to the Articles of Association and dissolution.

Resolutions are passed by acclamation; the election of the members of the Executive Board and the auditors is by secret ballot if at least a quarter of the members present request this.

An extraordinary general meeting must be held if the Executive Board deems it necessary in view of the Association's situation, or if at least one third of the members with voting rights request that it be convened.

Minutes of the General Meeting shall be drawn up and signed by the Deputy Chairman and the Secretary or Recording Secretary and countersigned by the First Chairman.



§ 7 Bodies of the Association


The bodies of the Association are: a) the Executive Board, b) the General Meeting


§ 8 The Executive Board


The Executive Board is elected by the General Meeting for an indefinite period. The members of the Executive Board are only confirmed in their positions every two years.

The Executive Board consists of: a) the Chairman, b) the 2nd Chairman, who is also the Treasurer, c) the Assessor, who is also the Secretary

The Executive Board deals with the day-to-day affairs of the Association, in particular it is responsible for managing the Association's assets.

If a member of the Executive Board resigns during the financial year or if the Executive Board is not complete, the Executive Board can fill the vacancies for the remainder of the year by electing new members.

The resolutions of the Executive Board are passed by a simple majority. In the event of a tie, the vote of the first chairman shall be decisive.

The Executive Board within the meaning of Section 26 of the German Civil Code (BGB) consists of the Chairman and his deputy, the 2nd Chairman. Each of them can represent the association alone.

The youth officer acts in an advisory capacity to the Executive Board, but only in matters relating to the interests of young members.

If there are more than 50 members with voting rights, the Executive Board is made up of the 1st Chairman, 2nd Chairman, Treasurer, Secretary and an assessor.



§ 9 The General Meeting


The Annual General Meeting shall take place in the first quarter of each financial year. It must be convened in writing by the Executive Board at least 2 weeks in advance.

The agenda must include: a) presentation of the annual report, b) report of the auditors, c) discharge of the Executive Board, d) election of new auditors, e) motions and questions, f) miscellaneous.

Motions for the agenda must be received by the Executive Board in writing at least 1 week before the General Meeting. Late motions can be included in the agenda if the majority of the members present agree to their urgency.



§ 10 Divisions


The club is divided into the following model car divisions: a) Internal combustion engines, b) Electric motors

When using the club's own facilities (especially the race track), internal combustion engines have priority, with the exception of special regulations that are decided in advance by the general meeting.


§ 11 Amendment of the Articles of Association


Amendments to the Articles of Association require a two-thirds majority of the votes cast at an ordinary General Meeting.


§12 Dissolution of the Association


The dissolution of the Association can only be decided in a special Extraordinary General Meeting to be convened for this purpose with one month's written notice and a majority of three quarters of the members present.

In the event of dissolution, the General Meeting shall appoint two liquidators to wind up the Association's affairs. The Association's assets remaining after payment of the debts shall be repaid to the members on a pro rata basis up to the amount they have advanced to finance the Association's own railway.

In the event of dissolution or discontinuation of tax-privileged purposes, any existing assets of the association shall be transferred to the Deutscher Minicar Club e.V., which must use them directly and exclusively for charitable purposes.
